Preamble

This document sets forth the Terms and Conditions (“Terms”) governing the Associate Membership Program (“Program”) of Tradeco (“Company”). By enrolling in the Program, individuals (“Associates”) agree to comply with these Terms. These Terms are intended to protect both the Associates and the Company and ensure the Program’s integrity.

Tradeco (“Company”) is a consumer-product based enterprise that expands its business network through the Associate Membership Program (“Program”). The Program is designed to allow individuals (“Associates”) to become part of the Company’s growth while benefiting from its success without incurring any additional costs or infrastructure. Associates engage in promoting the Company’s products and are rewarded through a structured referral system.

1. Nature of Business

1.1 The Company is engaged in the business of General Consumer Goods. We offer a variety of consumer products that Associates can promote as part of the Program.

1.2 As an Associate, you will play a critical role in expanding our customer base by referring new Associates and customers. In return, you receive rewards and benefits as outlined in these Terms and Conditions.

1.3 The Program is intended to create a community of Associates who contribute to the Company’s growth while benefiting from its success in a mutually beneficial ecosystem.

2. Acceptance of Terms

2.1 By applying for Associate Membership, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2.2 The Company reserves the right to modify these Terms at any time. Continued participation in the Program after such changes constitutes acceptance of the new Terms.

3. Membership Eligibility and Enrollment

3.1 Eligibility Criteria: Applicants must be at least 18 years of age and possess the legal capacity to enter into contracts.

3.2 Enrollment: To enroll, applicants must submit a completed application and pay a one-time non-refundable fee of INR 3000. Approval of membership is at the Company’s discretion.

4. Referral Rewards Program

4.1 Earning Rewards: Associates can refer new members to the Company. For each successful referral, the Associate shall earn a reward of INR 200, credited to their Membership account.

4.2 Successful Referral: A referral is deemed successful when the referred individual becomes an Associate by completing the enrollment process and paying the membership fee.

5. Rewards Redemption and Withdrawal

5.1 Use of Rewards: Rewards may be used for purchasing Company products.

5.2 Withdrawal Process: Withdrawals are subject to a review process and may incur transaction fees. Details of the withdrawal process are outlined in the Associate Member Portal.

6. Obligations of Associates

6.1 Compliance: Associates must comply with all Program policies and procedures, as well as all applicable laws and regulations.

6.2 Ethical Conduct: Associates shall conduct themselves ethically, refraining from deceptive, misleading, or otherwise unethical practices.

7. Termination and Suspension

7.1 The Company reserves the right to terminate or suspend an Associate’s Membership for violations of these Terms, including but not limited to fraudulent activity or misconduct.

7.2 Upon termination, any accrued rewards shall be forfeited and the Associate must cease representing themselves as part of the Program.

8. Limitations of Liability

8.1 The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages related to the Program.

8.2 The Company is not responsible for any actions taken by an Associate that result in loss or liability.

9. Disclaimers

9.1 The Program is provided “as-is” without warranties of any kind, either express or implied.

9.2 The Company does not guarantee the availability of any product or service or the continuous, uninterrupted access to the Program.

10. Dispute Resolution

10.1 Any disputes arising under these Terms will be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, unless otherwise specified.

11. Governing Law

11.1 These Terms shall be governed by and construed in accordance with the laws of JAIPUR, Rajasthan, India, without regard to its conflict of law provisions.

12. Miscellaneous

12.1 Entire Agreement: These Terms constitute the entire agreement between the Associate and the Company regarding the Program.

12.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

13. Indemnification

13.1 Associates agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms or any activity related to the Associate’s account (including negligent or wrongful conduct) by the Associate or any other person accessing the Program using the Associate’s account.

14. Limitation of Damages

14.1 In no event shall the Company be liable to the Associate or any third party for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms, the Program, or any services or products provided hereunder, even if advised of the possibility of such damages.

15. No Waiver

15.1 The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16. Occasional Company Schemes and Rewards

16.1 The Company may, at its discretion, introduce occasional schemes or promotional rewards. Participation in such schemes is optional and may be subject to additional terms and conditions.

16.2 All rewards and benefits conferred under such schemes are subject to change, withdrawal, or termination by the Company at any time without notice.

17. Intellectual Property

17.1 All content included in or made available through the Program, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations is the property of the Company or its content suppliers and protected by international copyright and intellectual property laws.

17.2 Associates shall not use the Company’s trademarks, service marks, trade dress, or other intellectual property without prior written consent from the Company.

18. Confidentiality

18.1 Associates must maintain the confidentiality of information acquired as part of their participation in the Program. This includes, but is not limited to, proprietary business information, details of the rewards, and personal data of referred individuals.

19. Termination for Cause

19.1 The Company may terminate an Associate’s membership with immediate effect if the Associate is found to be misusing the Program, engaging in illegal or fraudulent activities, or damaging the reputation of the Company.

20. Modification to Terms

20.1 The Company reserves the right to make changes to these Terms at any time. Associates will be notified of significant changes through the communication channels deemed appropriate by the Company.

21. Acceptance of Risk

21.1 The Associate acknowledges that participation in the Program is at their own risk. The Company does not guarantee any level of reward or benefit and shall not be responsible for any financial loss or other disadvantages resulting from participation.

22. Prohibition of Self-Referral and Misuse of the Referral Program

22.1 Self-Referral: Associates are prohibited from referring themselves under different identities or creating multiple accounts to benefit from referral rewards. Each Associate is limited to one Membership account.

22.2 Fake Accounts: Creating fake accounts or engaging in any fraudulent activity to earn rewards is strictly prohibited. This includes, but is not limited to, providing false information, impersonation, and using bots or automated methods to simulate or falsify referrals.

22.3 Monitoring and Enforcement: The Company reserves the right to monitor all referral activities for compliance with these Terms. Any suspected fraudulent, abusive, or illegal activity may be grounds for terminating the Associate’s Membership and may be referred to appropriate law enforcement authorities.

22.4 Consequences of Misuse: In addition to termination of Membership, Associates found to be engaging in self-referral or creating fake accounts may be subject to forfeiture of all accrued rewards and may be held liable for any damages to the Company, including litigation costs and damages.

23. Representation and Warranties of Associates

23.1 Associates represent and warrant that all information provided during the enrollment process and thereafter is true, accurate, and complete.

23.2 Associates agree to promptly notify the Company of any changes to their information or any circumstances that can affect their status as an Associate or their ability to comply with these Terms.

24. Authorization to Sell Company Products

24.1 Selling Authorization: Upon becoming an Associate, and subject to these Terms and Conditions, you are authorized to sell the Company’s consumer products to customers. This authorization is non-exclusive and revocable at the Company’s discretion.

24.2 Compliance with Policies: All sales of Company products by Associates must adhere to the Company’s policies, pricing guidelines, and ethical standards. Associates are not authorized to modify product prices or offer unauthorized discounts without prior approval from the Company.

24.3 Representation of Products: Associates must accurately represent the products and their benefits to customers. Misrepresentation or deceptive sales practices are strictly prohibited and will result in termination of the Associate’s Membership.

24.4 Sales Training: The Company may provide training, materials, and support to assist Associates in effectively selling the products. Associates are encouraged to participate in these training sessions to maintain a high standard of product knowledge and salesmanship.

24.5 Reporting and Accountability: Associates may be required to report their sales activities and outcomes to the Company periodically. The Company reserves the right to audit these reports and take action in the case of discrepancies or misconduct.

25. Updates to Associate Information

245.1 Associates are responsible for maintaining the accuracy and completeness of their membership information. This includes, but is not limited to, contact information, bank account details for reward withdrawals, and legal identification documents.
